Terms of Use
Last updated: June 2026 · v2
1. Acceptance of these conditions
These terms of use (the "Terms") govern your access to the le topo platform and service, as well as the website at https://letopo.ai (collectively, the "Service"), operated by 9533-1518 Québec inc., doing business as Pilr Inc. ("Pilr", "we", "us", "our").
By creating an account, subscribing, or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Service.
These Terms apply to the le topo product. They do not govern our separate corporate website, at https://pilr.ai, which has its own terms of use.
2. What is le topo?
le topo is a due diligence tool that aggregates and structures property information from public, municipal, environmental, and third-party sources, and provides commentary and guidance to support your analysis. It is intended to assist real estate professionals. le topo does not replace your professional judgment or the due diligence you are required to perform as part of your professional obligations.
Section 10 sets out important limitations regarding the information and its accuracy.
3. Eligibility and accounts
You must have the legal capacity to enter into a binding agreement in your jurisdiction to use the Service. The Service is intended for professional and commercial use. If you are using the Service on behalf of an organization, you confirm that you are authorized to accept these Terms on its behalf, and "you" includes that organization.
You agree to provide accurate and complete registration information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
4. Subscriptions, fees and payment
Access to le topo is offered on a paid subscription basis. The fees, billing frequency, and features applicable to your plan are those presented to you at the time of purchase. Payments are processed by our third-party payment service provider, Stripe; by subscribing, you authorize the applicable fees, including recurring fees when your plan automatically renews.
Unless otherwise stated, fees exclude applicable taxes, which you are responsible for paying. Subscriptions automatically renew for successive periods unless canceled before the end of the current period, according to the cancellation mechanism we provide. We may change fees or plans upon reasonable notice, with changes taking effect at your next renewal. Except where required by applicable law or unless expressly stated otherwise, fees are non-refundable.
5. Service Usage License
Subject to these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Service for your own internal business purposes for the duration of your subscription. All rights not expressly granted are reserved.
6. Your content
You retain ownership of the documents, files, and content you upload to the Service ("User Content"). You grant Pilr a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, and use User Content solely to provide, secure, maintain, and improve the Service, and in accordance with our Privacy Policy.
You represent and warrant that you have the necessary rights and authority to upload your User Content and allow us to process it, and that your User Content and its processing do not violate any law or third-party rights. You are solely responsible for your User Content.
7. Reporting and Permitted Use of Results
The "Reports" refer to the structured results, analyses, commentary, and risk signals that le topo generates for you. Subject to these Terms and payment, you may use the Reports for your own internal and professional purposes and share them with your own clients in the normal course of your professional services.
You may not resell, redistribute, sublicense, publish, or otherwise commercially exploit the Reports or the Service as a standalone data product or service, make them available to third parties except as described above, or use the Service or any output to design, train, or improve a competing product or service. The underlying source data remains subject to the rights and conditions of its original sources.
8. Intellectual Property
The Service, including all software, the le topo platform and technology, databases, design, structure, selection, arrangement and presentation of information, templates and report format, and all related intellectual property, are owned by Pilr or its licensors and are protected by applicable intellectual property laws.
The names "Pilr" and "le topo," the Pilr and le topo logos, and any related names, brands, and slogans are trademarks of Pilr or its licensors, whether registered or unregistered. You may not use any of these trademarks without our prior written consent. Except for the limited rights expressly granted in these Terms, no ownership or other rights in the Service or its content are transferred to you, and all rights are reserved.
If you provide suggestions, ideas, or other comments about the Service, you grant Pilr a perpetual, irrevocable, royalty-free right to use such comments for any purpose, without restriction or obligation to you.
9. Prohibited driving
You agree not to do, or attempt to do, the following:
- use the Service in a manner that violates any applicable law or regulation, or for illegal or fraudulent purposes;
- copy, reproduce, republish, distribute, sell, license or otherwise commercially exploit the Service or any Report, except as expressly permitted in section 7;
- extract, harvest, index or use any automated means or robot to access, monitor or copy the Service or its content, except with our express written permission;
- reverse engineer, decompile or disassemble any part of the Service, except to the extent that applicable law prohibits such restriction;
- circumvent or attempt to circumvent any security or access control measures, or access any part of the Service that you are not authorized to access;
- share, sell or transfer your account or credentials, or allow others to use the Service through your account, except to the extent permitted by your plan;
- introduce a virus, malware or harmful code, or otherwise harm, disrupt, overburden or alter the Service or its infrastructure;
- use the Service, or any result, to design, train or improve a competing product or service;
- uploading content that you do not have the right to upload, or that infringes on the rights of third parties, or that contains personal information about a third party without the necessary authority; or
- impersonate someone or claim affiliation, or use the Service in a way that violates the terms of an underlying data source.
10. Information, accuracy and professional responsibility
The report generated by le topo compiles and structures property information from public, municipal, environmental, and third-party sources. It also includes comments and guidance to help you analyze your situation.
Despite the care taken in selecting sources and processing data, some information may be incomplete, outdated, or not included in the Report due to technological limitations or the specific conditions of each source. For example, some information from the Land Registry, including indexes of digitized properties and long deeds, can be retrieved by le topo but is not currently processed within the interface.
le topo aims to assist you in your due diligence by facilitating access to relevant information and accelerating analysis. However, it does not replace professional judgment or the checks you must carry out as part of your obligations. Consequently, you remain fully responsible.
- to verify the accuracy and timeliness of the information;
- to complete the research when required; and
- to consult the original documents and, if necessary, the competent authorities or specialized professionals.
le topo does not guarantee the accuracy, completeness, or timeliness of the information presented. The comments, guidance, and explanatory materials provided in a Report are for informational purposes only and do not constitute legal, brokerage, appraisal, financial, tax, or other professional advice. In the event of any discrepancy between the information presented in a Report and that from an official source, the latter shall prevail. By using le topo, you acknowledge that you have read and agree to this section.
11. Third-party sources and links
The Service relies on, and may contain links to, public and third-party sources. We do not control and are not responsible for the content, availability, accuracy, or practices of these sources. Your use of source materials may be subject to the terms and policies of those sources, and it is your responsibility to comply with them.
12. Exclusion of warranties
The Service, as well as all content and results, are provided "as is" and "as available," without warranty of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, as well as any warranty that the Service will be uninterrupted, secure, accurate, up-to-date, complete, or free from errors or harmful components.
Some jurisdictions, including Quebec, do not allow the exclusion of certain warranties or legal guarantees. To the extent that such a warranty cannot be excluded under applicable law, the exclusions in this section apply only to the extent permitted by that law, and nothing in these Terms limits any right or warranty you may have that cannot be limited or excluded by law.
13. Limitation of Liability
To the fullest extent permitted by applicable law, Pilr and its directors, officers, employees and agents shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or clientele, arising out of your access to, use of or inability to use, the Service, its content or any Report, whether on a contractual, extra-contractual (including negligence) or any other legal theory basis, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, our total aggregate liability arising from the Service or these Terms will not exceed the greater of: (a) the amounts you have paid us for the Service during the twelve (12) months preceding the event giving rise to liability, or (b) one hundred Canadian dollars ($100 CAD). Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
14. Compensation
To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Pilr and its directors, officers, employees and agents from and against any and all claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of your User Content, your use of the Service or any Report, your breach of these Terms, or your violation of any applicable law or the rights of a third party.
15. Suspension and termination
We may suspend or terminate your access to the Service, in whole or in part, if you violate these Terms, fail to pay applicable fees, use the Service in a way that may harm Pilr, other users, or third parties, or if required by law. You may stop using the Service and cancel your subscription at any time through the cancellation mechanism we provide.
Upon termination, your right to access and use the Service ends. Sections that, by their nature, should survive (including those relating to intellectual property, prohibited conduct, warranty disclaimers, limitation of liability, indemnity, and governing law) will survive termination. The handling of your information after termination is described in our Privacy Policy.
16. Changes to the Service and these Terms
We may modify, suspend, or discontinue any part of the Service at any time. We may also revise these Terms from time to time. The revised Terms will be posted with an updated "Last Updated" date and will be effective immediately upon posting (or as otherwise indicated). Your continued use of the Service after the revised Terms become effective constitutes acceptance of them.
17. Confidentiality
Your use of the Service is also subject to our Privacy Policy, which describes how we collect, use, and protect personal information in connection with the Service. By using the Service, you acknowledge that you have read the Privacy Policy.
18. Applicable Law and Jurisdiction
These Terms, and any dispute arising out of or relating to them, or relating to the Service, are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of laws rules. You agree that the courts of the Province of Quebec (judicial district of Montreal) shall have exclusive jurisdiction, subject to any mandatory right you may have under applicable law to bring proceedings before another court.
19. Language
These Terms and Conditions are available in French and English. In the event of any discrepancy between the two versions, the French version shall prevail. The parties have stipulated that this agreement and all related documents be drawn up in French.
20. General Provisions
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Pilr regarding the Service and supersede all prior agreements on this subject. If any provision is found to be invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. You may not assign these Terms without our prior written consent; we may assign them in a reorganization, merger, or sale. Our failure to enforce any provision will not constitute a waiver of that provision. We are not liable for any failure or delay caused by events beyond our reasonable control.
